Industrial Products Marketplace

These Terms of Service ("Terms") govern your access to and use of Industrial Products Marketplace ("IPM," "we," "us," or "our"), including our website, marketplace, software, features, communications, and related services.
Industrial Products Marketplace is operated by Pyramid Pallets LLC, a Tennessee limited liability company, located at 10885 Monterey Forest Cove, Eads, Tennessee 38028, United States.
By creating an account, purchasing access, posting or responding to a listing, or otherwise using IPM, you agree to these Terms. If you do not agree to these Terms, do not use IPM.
IPM is an online platform designed to help businesses and individuals discover, list, and communicate about industrial materials, surplus inventory, reusable materials, logistics-related opportunities, and related services.
IPM provides tools for users to publish and discover information and communicate with one another.
IPM is not the buyer or seller of materials listed by users and is not a party to transactions between users unless we expressly state otherwise in writing.
Unless expressly stated otherwise, IPM does not act as a broker, dealer, carrier, freight broker, warehouse operator, inspector, appraiser, payment guarantor, or agent for users.
Users are responsible for negotiating and determining transaction terms, including price, quantity, specifications, condition, payment, pickup, delivery, freight, timing, taxes, insurance, and any other transaction requirements.
You must be legally capable of entering into a binding agreement to use IPM.
You agree to provide accurate and reasonably current information when creating and maintaining your account.
You are responsible for safeguarding your account credentials and for activity occurring through your account. You must notify us promptly at support@industrialproductsmarketplace.com if you believe your account has been compromised.
You may not impersonate another person or organization, misrepresent your affiliation with a company, or create accounts for fraudulent, deceptive, or abusive purposes.
Users may submit listings, descriptions, specifications, quantities, locations, prices, photographs, videos, documents, company information, messages, and other content ("User Content").
You retain ownership of User Content that you own.
By submitting User Content to IPM, you grant Pyramid Pallets LLC a non-exclusive, worldwide, royalty-free license to host, store, reproduce, format, display, distribute, and otherwise use that content as reasonably necessary to operate, secure, improve, promote, analyze, and provide IPM and its marketplace services.
This license includes the ability to create and use aggregated or de-identified information derived from marketplace activity for analytics, market observations, service improvement, fraud prevention, and business operations, provided such use does not identify an individual where we represent the information as de-identified.
You represent that you have the necessary rights to submit the User Content you provide.
You are responsible for the accuracy of your listings. You should promptly update, pause, close, or otherwise correct a listing when the underlying opportunity materially changes or is no longer available.
Information submitted as part of a public marketplace listing may be visible to other users and, depending on the feature and privacy controls involved, may be accessible publicly without signing in.
Public listing pages may also be discovered, cached, or indexed by search engines and other third-party services.
Do not place confidential information, trade secrets, sensitive personal information, or information you do not want publicly disclosed into fields intended for public display.
IPM may limit or remove identifying or contact information from public views while making additional information available through authorized account or contact workflows.
Users are responsible for conducting their own due diligence before entering into a transaction.
You are responsible for determining, among other things:
IPM may provide information intended to help users make decisions, but that information is not a substitute for your own inspection, verification, professional advice, or due diligence.
You may not use IPM to:
We may investigate suspected violations and may restrict, suspend, remove, or terminate accounts or content when reasonably necessary to protect IPM, its users, or others.
IPM may review, moderate, reject, pause, edit the presentation of, restrict, or remove listings or other User Content.
Moderation does not mean that IPM has independently verified a listing.
The presence of a listing on IPM is not an endorsement, certification, inspection, warranty, or guarantee by IPM.
Users may report listings or activity they believe violates these Terms or presents a safety, fraud, or marketplace-integrity concern.
IPM currently offers paid access options that may include:
Single Listing — $29 one-time purchase
The Single Listing option currently provides access for one active listing for a limited access period, currently 30 days from purchase. It is a one-time purchase and does not automatically renew.
Professional — $99 per month
The Professional Plan is a recurring monthly subscription and currently includes up to 20 active listings, subject to the features and limits displayed at the time of purchase.
Business — $149 per month
The Business Plan is a recurring monthly subscription and includes the features and listing limits displayed at the time of purchase.
Current pricing, features, and limits are displayed on IPM's Pricing and Billing pages. We may offer different plans or change pricing or features prospectively. Material changes affecting an existing recurring subscription will be communicated as appropriate before they take effect.
Professional and Business are recurring monthly subscriptions.
By purchasing a recurring subscription, you authorize the applicable recurring charge disclosed at checkout until you cancel the subscription.
Your subscription generally renews based on your billing date rather than the first day of each calendar month.
You may cancel a recurring subscription online through IPM's Billing page by selecting Cancel Subscription or by using Manage Billing to access the secure billing portal.
Cancellation stops future renewal. Unless otherwise stated during cancellation, your paid access continues through the end of your current paid billing period.
Canceling a subscription does not automatically delete your IPM account.
The Single Listing option is a one-time purchase and does not renew automatically.
If you schedule cancellation of a Professional or Business subscription, your eligible listings may remain active through the remainder of your paid subscription period.
When paid marketplace access actually ends, IPM may pause, expire, archive, or otherwise remove affected listings from the active marketplace.
Listings are not necessarily deleted when paid access ends.
If a Single Listing access period expires, the associated active listing may be marked expired and removed from the active marketplace.
If you later purchase or restore access, previously expired or paused listings are not guaranteed to be automatically republished. You may be required to review, update, or reactivate them.
Payments are processed through third-party payment processors, including Stripe.
IPM does not need to receive or store your complete payment-card number in order to process payments through Stripe.
Your use of Stripe-hosted payment or billing services may also be subject to Stripe's applicable terms and privacy practices.
You agree to provide accurate billing information and authorize charges associated with purchases you initiate.
Except where required by applicable law or expressly stated otherwise at the time of purchase, payments are generally non-refundable once access has been provided.
Canceling a recurring subscription normally prevents future renewal but does not automatically produce a refund for the current billing period.
If you believe you were charged incorrectly, experienced a duplicate charge, or could not access a service you purchased because of a technical problem attributable to IPM, contact support@industrialproductsmarketplace.com. We may review and resolve billing issues on a case-by-case basis.
Nothing in this section limits rights that cannot lawfully be waived.
IPM may allow users to discover or contact freight providers, storage providers, cross-dock operators, removal services, recyclers, or other support-service providers.
Unless IPM expressly states otherwise, these providers are independent third parties.
Their appearance on IPM does not constitute a guarantee or endorsement of their services, qualifications, insurance, licensing, pricing, availability, or performance.
Users are responsible for evaluating and contracting with third-party providers.
IPM relies on third-party technology and service providers for functions such as hosting, payment processing, email delivery, authentication, infrastructure, analytics, and other operations.
We are not responsible for third-party services outside our reasonable control.
Links to third-party websites or services are provided for convenience and do not necessarily constitute endorsement.
Except for User Content and third-party materials, IPM and its software, branding, interface, design, text, graphics, databases, organization, and other proprietary materials are owned by or licensed to Pyramid Pallets LLC and are protected by applicable intellectual-property laws.
These Terms do not transfer ownership of IPM or its proprietary technology to you.
You may use IPM only for its intended business purposes and in accordance with these Terms.
IPM may generate statistics, analytics, trends, market observations, and other information from activity occurring on the platform.
We may use and retain aggregated or de-identified information for legitimate business purposes, including improving IPM, understanding marketplace activity, developing products and services, producing market observations, detecting abuse, and operating the business.
Where information is represented as de-identified, we will not intentionally present it as identifying a specific individual.
Canceling a paid subscription and deleting an IPM account are separate actions.
Subscription cancellation stops future recurring billing as described above but does not automatically erase account or marketplace records.
You may request account deletion or assistance with personal information by contacting support@industrialproductsmarketplace.com or by using available account-deletion functionality.
We may retain information when reasonably necessary for legitimate business purposes, including transaction and billing records, fraud prevention, security, dispute resolution, legal compliance, enforcement of agreements, backup integrity, and aggregated or de-identified analytics.
Account deletion does not necessarily require deletion of information that applicable law permits or requires us to retain.
Public information previously indexed, cached, copied, or stored by third parties may remain available outside IPM even after removal from our active service.
We work to provide a reliable service, but we do not guarantee uninterrupted or error-free operation.
IPM may occasionally be unavailable because of maintenance, software errors, third-party outages, security events, upgrades, or circumstances outside our reasonable control.
We may add, modify, suspend, or discontinue features as the service evolves.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IPM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS.
PYRAMID PALLETS LLC MAKES NO WARRANTY THAT:
TO THE EXTENT PERMITTED BY LAW, IMPLIED WARRANTIES ARE DISCLAIMED.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PYRAMID PALLETS LLC AND ITS OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST BUSINESS, LOST DATA, LOST OPPORTUNITIES, OR BUSINESS INTERRUPTION ARISING FROM OR RELATED TO IPM.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PYRAMID PALLETS LLC'S AGGREGATE LIABILITY ARISING FROM OR RELATING TO IPM OR THESE TERMS WILL NOT EXCEED THE GREATER OF:
Some jurisdictions do not permit certain exclusions or limitations, so portions of this section may not apply to you.
To the extent permitted by law, you agree to defend, indemnify, and hold harmless Pyramid Pallets LLC and its owners, officers, employees, contractors, and agents from third-party claims, damages, liabilities, costs, and reasonable expenses arising from your User Content, your transactions with other users, your violation of these Terms, your violation of applicable law, or your infringement of another person's rights.
We may restrict, suspend, or terminate access to IPM when we reasonably believe an account or activity:
Where appropriate, we may provide notice or an opportunity to correct an issue, but we are not required to do so where immediate action is reasonably necessary.
These Terms are governed by the laws of the State of Tennessee, without regard to conflict-of-law principles, except to the extent applicable law requires otherwise.
Subject to any rights or venue requirements that cannot lawfully be waived, disputes arising from these Terms or IPM will be brought in an appropriate state or federal court having jurisdiction in or serving Shelby County, Tennessee.
We may update these Terms as IPM evolves.
When we make material changes, we will update the "Last Updated" date and may provide additional notice through IPM, email, or another reasonable method.
Continued use of IPM after revised Terms become effective constitutes acceptance of the revised Terms to the extent permitted by applicable law.
If a provision of these Terms is found unenforceable, the remaining provisions remain in effect to the extent permitted by law.
Our failure to enforce a provision does not waive our right to enforce it later.
These Terms, together with applicable policies referenced within IPM, constitute the agreement between you and Pyramid Pallets LLC concerning your use of IPM.
